1. Acceptance of Terms

By accessing or using Gatefold, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service, or the minimum age required by the laws of your country if higher. By using Gatefold, you represent that you meet this requirement.

3. Intellectual Property & Ownership

The Service: All software, code (including the gatefold-fm repository), UI/UX designs, and logos are the exclusive property of Gatefold LLC.

Unique Facts & Lore: Gatefold surfaces unique music lore, facts, and connections. This curated dataset is the proprietary intellectual property of Gatefold LLC.

AI-Powered Features & The Clerk: The Service includes AI-powered features, including but not limited to "The Clerk," an AI music advisor. The character, persona, prompt architecture, behavioral rules, and curated connection methodology (including our proprietary "lore anchor" system) powering The Clerk are the exclusive intellectual property of Gatefold LLC. The underlying language models are provided by third-party services and are not claimed as our own.

Restrictions: You may not scrape, crawl, data-mine, or extract data from Gatefold — including AI-generated commentary, lore, recommendations, or persona outputs — for any commercial purpose or to train machine learning models without express written permission from Gatefold LLC.

4. AI-Generated Content

Certain content within the Service — including album commentary, recommendations, music lore, and responses from The Clerk — is generated with the assistance of artificial intelligence. The Clerk and other AI-powered features are automated systems; you are interacting with artificial intelligence, not a human.

While we strive for accuracy, AI-generated content may contain errors or inaccuracies. Gatefold LLC does not guarantee the accuracy, completeness, or reliability of AI-generated information. Such content is provided for informational and entertainment purposes only and should not be considered professional advice.

5. User Content

You may submit content to the Service, including marketplace listing photos, condition notes, wantlist entries, and chat messages ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant Gatefold LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license ends when you delete your User Content or your account, except where your content has been shared with other users and they have not deleted it.

You represent that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.

6. Subscriptions & Billing

Paid Plans: Gatefold offers paid subscription plans ("Pro") with additional features. By subscribing, you authorize Gatefold LLC to charge the applicable fees to your chosen payment method.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account Settings or by contacting hello@gatefold.fm. Cancellation takes effect at the end of the current billing period.

App Store Purchases: If you subscribe through the Apple App Store or Google Play Store, billing is managed by the respective platform. Payment is charged to your App Store or Play Store account at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel your subscription in your device's account settings. The respective platform's payment terms apply.

Refunds: Payments are non-refundable except where required by applicable law. For App Store or Play Store purchases, refund requests must be directed to the respective platform.

Price Changes: We may change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

Gift Subscriptions: Gift subscriptions are prepaid for a fixed term and do not auto-renew.

7. Third-Party Data & Services

Gatefold utilizes third-party APIs (including Discogs and MusicBrainz). Your use of the Service is also subject to the terms and conditions of these third-party providers where applicable. Gatefold LLC does not claim ownership of raw metadata provided by these services.

8. Affiliate Links

The Service may include links to third-party retailers (including eBay and Amazon). Gatefold LLC may earn a commission from purchases made through these links at no additional cost to you.

9. User Accounts

If you create an account, you are responsible for maintaining the security of your credentials. You agree to notify us immediately of any unauthorized use of your account.

10. Limitation of Liability

Gatefold is provided "as is" and "as available." To the maximum extent permitted by applicable law, Gatefold LLC shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Service, including but not limited to damages related to AI-generated content, third-party service availability, marketplace transactions between users, or loss of data.

To the extent permitted by applicable law, our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to Gatefold LLC in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Gatefold LLC, its officers, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights. This indemnification obligation does not apply where prohibited by applicable law.

12. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to contact us at hello@gatefold.fm and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If we cannot resolve a dispute informally, you and Gatefold LLC agree to resolve any claims through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Johnson County, Kansas, or remotely by mutual agreement. The arbitrator's decision is final and enforceable in any court.

Class Action Waiver: You and Gatefold LLC each waive the right to participate in a class action, collective action, or representative proceeding. Claims must be brought in an individual capacity only.

Exceptions: Either party may bring claims in small claims court in Johnson County, Kansas, if the claim qualifies. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized data access.

Opt-Out: You may opt out of this arbitration clause by sending written notice to hello@gatefold.fm within 30 days of creating your account. If you opt out, disputes will be resolved in the courts of Johnson County, Kansas.

This arbitration clause does not apply to residents of the European Union, United Kingdom, or any jurisdiction where mandatory arbitration of consumer disputes is prohibited by law.

13. Termination

We reserve the right to suspend or terminate your access to Gatefold at our sole discretion, without notice, for conduct that we believe violates these Terms. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the Settings page.

14. Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to its conflict of laws principles. Any legal action related to these Terms shall be brought in the courts located in Johnson County, Kansas.

Nothing in these Terms limits any rights you may have under mandatory consumer protection laws in your jurisdiction, including but not limited to rights under the European General Data Protection Regulation (GDPR), the UK Data Protection Act, or the Japanese Act on the Protection of Personal Information (APPI). Where local law grants you rights that cannot be waived by contract, those rights prevail.
